Terms of Use

These Terms of Use form a binding agreement between you and Shinykings Inc. concerning NanoXperts, NanoXperts Academy, the NanoXperts Network, nanoxperts.com, related websites, course services, certification services, directories, verification tools, content, and associated features.

By accessing or using the services, creating an account, purchasing a product, enrolling in a course, taking an assessment, joining the Network, or submitting an inquiry, you agree to these Terms.

Do not use the services if you do not agree.

You must be at least 18 years old and legally capable of entering a binding agreement to purchase courses, take a professional certification assessment, or create a professional Network listing.

By acting for a company, you represent that you have authority to bind it.

NanoXperts may provide:

• Public educational content.
• Online courses.
• Downloadable resources.
• Certificates of Completion.
• Professional certification assessments.
• Professional certification certificates.
• Certificate-verification tools.
• A directory or Network of service providers.
• Customer inquiry and quote-request tools.
• Professional profiles.
• Marketing and educational communications.
• Other related services.

Features may change over time.

You agree to:

• Provide accurate and current information.
• Maintain the confidentiality of login credentials.
• Use only your own account.
• Promptly report unauthorized access.
• Remain responsible for activity under your account.

Accounts, courses, assessments, and certificates may not be transferred, resold, shared, or assigned without written authorization.

NanoXperts Academy provides educational and informational content concerning surface science, surface protection, professional practices, and related subjects.

Academy content:

• Does not constitute a government license.
• Does not replace legally required training or licensing.
• Does not guarantee employment, income, customers, business success, certification, or project results.
• Does not replace manufacturer instructions, product technical data, safety data sheets, building codes, environmental rules, or professional advice.
• Must be applied using independent professional judgment.

Students remain responsible for legal compliance, product selection, testing, workmanship, safety, and customer communications.

Prices and access terms are displayed at purchase.

Unless expressly stated otherwise:

• Access is personal and non-transferable.
• Access applies only to the purchased product.
• Course content may be updated, reorganized, replaced, or discontinued.
• “Lifetime access,” where offered, means access for the commercially reasonable life of the applicable course and platform, not the student’s natural lifetime or a guarantee that every feature will remain unchanged forever.

Purchases are also governed by the Refund Policy displayed at checkout or on the Academy website.

Professional certification is governed by the Certification Terms.

A Certificate of Completion is different from professional certification.

Completion of Surface Protection Foundations does not, by itself, authorize a student to use the title NanoXperts Certified Surface Protection Specialist.

That title may be used only after all certification requirements have been met and while certification remains valid and in good standing.

The NanoXperts Network may include certified and non-certified service providers.

NanoXperts:

• Provides directory, discovery, verification, and communication tools.
• Is not a party to agreements between customers and providers.
• Does not employ listed providers.
• Does not control provider pricing, scheduling, methods, products, workmanship, insurance, licensing, warranties, or project results.
• Does not guarantee that a provider is suitable for a particular project.
• Does not guarantee leads, inquiries, revenue, ranking, or customer engagement.

Customers must independently evaluate providers, verify licenses and insurance where relevant, request appropriate documentation, review contracts, and make their own hiring decisions.

A “NanoXperts Certified Surface Protection Specialist” is an individual who has met the Academy’s applicable certification requirements.

A “Surface Protection Service Provider” or other non-certified listing has not earned that certification unless expressly shown otherwise.

Certification belongs to the certified individual. A company is not automatically certified because it employs or contracts with a certified person.

No user may:

• Imply certification that has not been earned.
• Alter or misuse certification badges.
• Represent an entire company as certified when only an individual is certified.
• Create a confusingly similar mark.
• Use expired, suspended, or revoked status.
• Misstate the scope or meaning of certification.

Submitting an inquiry does not create a contract with NanoXperts or any provider. NanoXperts does not guarantee that:

• A provider will respond.
• A provider will accept the project.
• A quote will be issued.
• Services will be available.
• Information supplied by a customer or provider is accurate.
• A project will achieve a particular result.

Customers and providers are solely responsible for their communications, contracts, pricing, scheduling, payments, disputes, and performance.

“User Content” includes profile text, reviews, photographs, logos, project images, messages, and other material submitted by users.

You retain ownership of your User Content, but grant Shinykings Inc. a worldwide, non-exclusive, royalty-free, transferable and sublicensable license to host, store, reproduce, format, display, publish, distribute, and use it as reasonably necessary to operate, promote, and improve NanoXperts.

You represent that:

• You own or control the rights required to submit it.
• It is accurate and lawful.
• It does not violate privacy, intellectual-property, publicity, contractual, or other rights.
• Necessary customer and property-owner permissions have been obtained for project images.
• It does not contain confidential or sensitive information without authorization.

We may remove User Content at our discretion.

Where reviews or testimonials are offered:

• They must reflect genuine experiences.
• Incentives must be disclosed where legally required.
• Providers may not submit or arrange fake reviews.
• Users may not threaten, harass, or manipulate reviewers.
• NanoXperts may moderate or remove content but does not guarantee that every review is accurate.

NanoXperts materials are owned by Shinykings Inc. or its licensors and are protected by intellectual-property laws.

Protected materials include:

• Course videos.
• Course text.
• PDFs.
• Worksheets.
• Examination content.
• Question banks.
• Graphics.
• Logos.
• Certification marks.
• Badges.
• Certificates.
• Website content.
• Software and interfaces.
• Directory structure.
• Educational methodologies.

Purchasing a course grants a limited, personal, non-exclusive, non-transferable, revocable license for individual educational use.

You may not:

• Copy or redistribute courses.
• Record or republish videos.
• Share downloads publicly.
• Sell Academy resources.
• Share examination questions or answers.
• Scrape directory or profile data.
• Build competing databases from Network information.
• Reverse engineer or interfere with the services.
• Use NanoXperts marks without permission.
• Train automated systems using protected content without written permission.

You may not use the services to:

• Violate law.
• Commit fraud.
• Impersonate others.
• Submit false qualifications.
• Harass users.
• Send spam.
• Introduce malicious code.
• Circumvent security.
• Collect data without authorization.
• Manipulate examinations.
• Mislead customers.
• Promote unsafe or unlawful practices.
• Interfere with operations.

NanoXperts may rely on third parties such as Thinkific, payment processors, analytics services, communication providers, mapping services, and hosting providers.

Third-party services are governed by their own terms and policies. We are not responsible for third-party outages, actions, content, or security practices.

We may restrict, suspend, remove, or terminate access or listings where we reasonably believe there has been:

• A violation of these Terms.
• Fraud.
• Academic dishonesty.
• Certification misuse.
• Misleading profile information.
• Unsafe or unlawful conduct.
• Nonpayment.
• Abuse of customers or other users.
• Harm to NanoXperts, its reputation, or its community.
• A legal or security risk.

Where legally permitted, no refund is owed for termination caused by a user’s violation.

To the maximum extent permitted by law, NanoXperts services are provided “as is” and “as available.”

We disclaim warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted operation, accuracy, availability, and results.

We do not warrant:

• That all content is error-free.
• That every provider is qualified for every project.
• That certification guarantees workmanship.
• That a professional will receive customer leads.
• That a customer will find an available provider.
• That any coating, sealer, method, or project will perform in a particular way.
• That the website will always be available.

Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.

To the maximum extent permitted by law, Shinykings Inc. and its officers, directors, employees, contractors, affiliates, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, loss of data, reputational loss, business interruption, project damage, or loss of opportunity.

Except where prohibited by law, aggregate liability arising from a paid service will not exceed the amount paid to Shinykings Inc. for the specific service giving rise to the claim during the 12 months preceding the event.

For free services, aggregate liability will not exceed US $100.

These limitations do not apply where prohibited by law.

You agree to defend, indemnify, and hold harmless Shinykings Inc. and its affiliates from claims, damages, liabilities, losses, and expenses arising from:

• Your use of the services.
• Your User Content.
• Your professional services.
• Your project, transaction, or customer relationship.
• Your breach of these Terms.
• Your violation of law.
• Your infringement of another person’s rights.
• Misrepresentation of certification or qualifications.

These Terms are governed by California law, without regard to conflict-of-law rules.

Unless applicable consumer law requires otherwise, disputes shall be brought in the state or federal courts having jurisdiction in Orange County, California, and the parties consent to that jurisdiction and venue.

We may update these Terms. Updated Terms will be posted with a revised effective date.

Material changes may be communicated through the website, account, or email. Continued use after the effective date constitutes acceptance where permitted by law.
